Agreement to Terms

By accessing or using Trakyo ("Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

Description of Service

Trakyo is a revenue attribution and analytics platform that helps content creators, course sellers, and digital marketers measure the financial impact of their organic content. Our Service connects data from multiple platforms (YouTube, Instagram, Calendly, Typeform, Stripe, and others) to provide revenue attribution analytics.

Core Features

• Revenue Attribution: Connecting content performance to actual revenue generation
• Multi-Platform Analytics: Aggregating data across connected platforms
• UTM Parameter Tracking: Attribution through custom tracking parameters
• Dashboard Analytics: Visual reporting of content performance and revenue metrics
• Data Integration: Synchronization with third-party platforms and services

Account Registration and Eligibility

Eligibility Requirements

• You must be at least 18 years old
• You must provide accurate and complete registration information
• You must have the legal authority to enter into this agreement
• You must not be prohibited from using the Service under applicable law

Account Responsibility

• You are responsible for maintaining account security
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account
• One person or entity per account (no account sharing)

Acceptable Use Policy

Permitted Uses

• Using the Service for legitimate business analytics and revenue attribution
• Connecting your own social media accounts and business platforms
• Generating reports and insights for your own content strategy
• Exporting your own data and analytics

Prohibited Uses

You may not:

• Violate Laws: Use the Service for any illegal purpose or in violation of any laws
• Infringe Rights: Violate intellectual property rights or privacy rights of others
• System Abuse: Attempt to gain unauthorized access to our systems or other users' data
• Data Scraping: Use automated tools to extract data beyond normal platform usage
• Resale: Resell, redistribute, or commercialize the Service without authorization
• False Information: Provide false or misleading information during registration or use
• Competitive Intelligence: Use the Service to develop competing products or services
• Spam or Harassment: Send unsolicited communications or harass other users

Third-Party Platform Integrations

Platform Authorization

• You must have legitimate access to all connected platforms
• You are responsible for maintaining valid API connections
• You grant us permission to access data from connected platforms on your behalf
• You must comply with each platform's terms of service

Platform-Specific Terms

YouTube Integration

• You must comply with YouTube Terms of Service and API Terms
• You must own or have authorization for all connected YouTube channels
• You acknowledge that YouTube data access may be limited or revoked by YouTube

Calendly Integration

• You must have a valid Calendly account and appropriate subscription
• Event data will be synchronized based on your Calendly permissions
• You are responsible for calendar privacy settings

Typeform Integration

• You must own or have access to connected Typeform accounts
• Form data attribution requires proper UTM parameter implementation
• You are responsible for form respondent privacy compliance

Stripe Integration

• You must have a valid Stripe account in good standing
• Financial data is used solely for attribution and analytics
• You remain responsible for all payment processing compliance

Instagram Integration

• You must comply with Instagram Terms of Use and Business Policies
• You must have appropriate permissions for connected Instagram accounts
• Content data is used solely for performance attribution

Data Accuracy Disclaimer

• Third-party platform data accuracy depends on source platform reliability
• We are not responsible for data delays, errors, or omissions from integrated platforms
• Attribution analysis is based on available data and may not capture all conversion paths

Revenue Attribution and Analytics

Attribution Methodology

• Our attribution system uses UTM parameters and data correlation
• Attribution is based on available data and may not capture all revenue sources
• Results are analytical estimates, not guaranteed precise measurements
• Unattributed revenue may remain unattributed due to data limitations

Data Accuracy and Limitations

• No Guarantee of Accuracy: Analytics are provided for informational purposes only
• Business Decision Responsibility: You are solely responsible for business decisions based on our analytics
• Data Delays: Real-time data may not always be available due to platform sync schedules
• Attribution Gaps: Some revenue may remain unattributed due to technical limitations

Performance Metrics

• Metrics are calculated based on available data from integrated platforms
• Historical data accuracy depends on when integrations were established
• We do not guarantee data completeness for periods before platform connections

Subscription and Payment Terms

Paid Subscriptions

• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for recurring fees
• Subscription plans and pricing may change with notice

Payment Processing

• Payments are processed through third-party payment processors
• You must provide valid payment information
• Failed payments may result in service suspension
• You are responsible for all taxes related to your subscription

Refund Policy

• Subscription fees are generally non-refundable
• Refunds may be considered for technical issues preventing Service use
• Refund requests must be submitted within 30 days of billing

Platform Dependencies

• Service functionality depends on third-party platform APIs and access
• Changes to third-party platforms may affect our Service capabilities
• We are not responsible for third-party platform limitations or changes

Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR:

• Indirect Damages: Consequential, incidental, or punitive damages
• Business Losses: Lost profits, revenue, data, or business opportunities
• Third-Party Actions: Actions or omissions of integrated platforms
• Data Accuracy: Decisions made based on analytics or attribution data
• Service Interruptions: Temporary unavailability or performance issues

Business Decision Responsibility

• You acknowledge that our analytics are tools to inform decision-making
• You are solely responsible for business and content strategy decisions
• We do not guarantee that following our analytics will improve business results
• Revenue attribution is analytical and may not reflect all contributing factors

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third-party rights or applicable laws
• Content you upload or share through the Service
• Your business decisions based on Service analytics
• Your violation of third-party platform terms of service

Termination

Termination by You

• You may terminate your account at any time through account settings
• Termination does not entitle you to refunds of prepaid subscription fees
• You may export your data before termination
• Some data may be retained as required by law or for legitimate business purposes

Termination by Us

We may terminate or suspend your account immediately for:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of subscription fees
• Fraudulent or illegal activity
• Violation of third-party platform terms that affect our Service
• At our discretion with notice for any reason

Effect of Termination

• Upon termination, your right to use the Service immediately ceases
• We may delete your data after a reasonable retention period
• Provisions that should survive termination will remain in effect
• You remain liable for any outstanding fees or obligations

Dispute Resolution

Governing Law

These Terms are governed by Wyoming law, without regard to conflict of law principles.

Dispute Resolution Process

1. Direct Communication: First attempt to resolve disputes through direct communication
2. Mediation: If direct resolution fails, disputes will be resolved through mediation
3. Arbitration: Unresolved disputes will be settled through binding arbitration
4. Class Action Waiver: You waive the right to participate in class action lawsuits

Jurisdiction

Any legal proceedings must be brought in courts located in Wyoming, United States.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce that provision later.

Assignment

You may not assign your rights under these Terms. We may assign our rights and obligations with notice to you.

Updates to Terms

• We may update these Terms periodically
• Material changes will be communicated via email or Service notification
• Continued use after changes constitutes acceptance of updated Terms
• If you disagree with changes, you may terminate your account

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service outages.
